Terms of Service

Please read these Terms of Service carefully before using Konektao’s platform or services. These Terms govern your access to and use of our Employer of Record (EOR), payroll, HR compliance, and global workforce solutions.

1. Acceptance of Terms

  • By accessing or using Konektao's website, platform, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.
  • These Terms apply to all visitors, users, and clients of Konektao. If you are using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

  • Konektao provides Employer of Record (EOR), payroll processing, HR compliance, global hiring, and related workforce management solutions.
  • We act as the legal employer of record for workers engaged by our clients, managing payroll, benefits, taxes, and regulatory compliance on their behalf.
  • The scope of specific services provided to each client is governed by a separate Master Services Agreement or Statement of Work.

3. Eligibility

  • Our Services are intended for businesses and professionals. You must be at least 18 years old and legally authorized to enter into binding contracts to use our Services.
  • By using our Services, you represent and warrant that you meet these eligibility requirements.

4. Client Responsibilities

  • Clients are responsible for providing accurate and complete information necessary for Konektao to perform its services, including employee details, compensation structures, and work requirements.
  • Clients must comply with all applicable laws and regulations in their jurisdiction and in the jurisdictions where their workers are engaged.
  • Clients must not use our Services for any unlawful purpose, including facilitating illegal employment arrangements, tax evasion, or discrimination.
  • Clients are responsible for supervising and directing the day-to-day work of employees engaged through Konektao, in compliance with applicable labor laws.

5. Fees and Payment

  • Fees for our Services are set forth in your applicable service agreement. All fees are due in accordance with the payment terms specified therein.
  • Late payments may be subject to interest charges as specified in your service agreement.
  • Konektao reserves the right to suspend Services for accounts with overdue balances after providing reasonable notice.
  • All fees are exclusive of applicable taxes unless otherwise stated.

6. Intellectual Property

  • All content, software, and materials available through our Services, including logos, trademarks, text, and graphics, are the property of Konektao or its licensors and are protected by applicable intellectual property laws.
  • You may not reproduce, distribute, modify, or create derivative works of our materials without our prior written consent.
  • You retain ownership of any data or content you submit to our platform. By submitting such content, you grant Konektao a limited license to use it solely to provide our Services.

7. Confidentiality

  • Each party agrees to keep confidential any non-public information of the other party obtained in connection with the Services and not to disclose such information to third parties without prior written consent.
  • This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Limitation of Liability

  • To the fullest extent permitted by law, Konektao shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services.
  • Our total liability to you for any claims arising under these Terms shall not exceed the fees paid by you to Konektao in the three (3) months preceding the claim.
  • These limitations apply regardless of the theory of liability and even if Konektao has been advised of the possibility of such damages.

9. Indemnification

  • You agree to indemnify, defend, and hold harmless Konektao and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

  • Either party may terminate the Services in accordance with the terms of the applicable service agreement.
  • Konektao may immediately suspend or terminate your access to our Services if you breach these Terms or engage in conduct that we reasonably believe is harmful to Konektao, our clients, or third parties.
  • Upon termination, all licenses granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination will remain in effect.

11. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.
  • Any disputes arising from these Terms shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be submitted to binding arbitration in Metro Manila, Philippines, in accordance with applicable arbitration rules.

12. Changes to These Terms

  • We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or by contacting you directly.
  • Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms.
